These Terms of Service are a binding legal agreement between you (the user of this site) and The Health Co-Lab LLC. They explain the rules for using our website, the disclaimers that apply, and the limits of our liability. If you do not agree to these Terms, please do not use this site.

Scope of Terms
These Terms apply only to use of the Site and do not govern the use of any other Health Co-Lab software product, including LastMile RCM, TransitionalRent, and CHC Performance Tools. Customer use of those products is governed by separate written agreements.
Acceptance of Terms
By accessing or using thehealthcolab.com (the “Site”), you agree to these Terms of Use and our Privacy Policy. If you access the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Eligibility
The Site is intended for adults 18 and older. The Site is not directed to children, and we do not knowingly collect personal information from children under 13 (COPPA).
No Medical Advice
The Site is for general informational, educational, and marketing purposes only and does not provide medical, clinical, or healthcare advice, diagnosis, or treatment. Nothing on the Site constitutes the practice of medicine, nursing, social work, case management, or any other licensed profession.
If you need medical advice, consult a qualified healthcare professional. In a medical emergency, call 911 or your local emergency number.
No Legal, Financial, or Compliance Advice
Information on the Site about healthcare law, regulation, reimbursement, compliance, or program design is provided for general informational purposes only and is not legal, regulatory, financial, or professional advice.
License to Use the Site
We grant you a limited, nonexclusive, nontransferable, revocable license to access the Site for personal, noncommercial informational purposes and to evaluate Health Co-Lab services in good faith.
Intellectual Property
All content on the Site is the property of The Health Co-Lab LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.
You may view, download, and print pages for personal or internal business reference, provided that you do not modify the content; retain all proprietary notices; do not republish, sell, license, or redistribute the content; and do not imply endorsement.
Acceptable Use of the Site
You agree not to:
- Use the Site in any way that violates applicable law.
- Attempt unauthorized access to any portion of the Site or related systems.
- Probe, scan, or test the vulnerability of the Site without our written permission.
- Interfere with or disrupt the Site or related networks, including by introducing malware.
- Use automated means to access the Site, except for well-behaved search-engine indexing.
- Use the Site to transmit unsolicited promotional materials.
- Impersonate any person or entity, or misrepresent your affiliation.
- Submit content through the Site that is unlawful, defamatory, harassing, infringing, or that contains Protected Health Information. Do not submit Protected Health Information (PHI) through the Site. If you need to discuss PHI, use the channel designated under your Business Associate Agreement (BAA) or customer contract.
User Submissions
If you submit information to The Health Co-Lab through the Site—for example, a contact, careers, or newsletter form—you grant The Health Co-Lab a nonexclusive, royalty-free, worldwide license to use that information to respond to your inquiry, evaluate your application, and operate our business.
Third-Party Links and Services
The Site may link to third-party websites. These links are provided for convenience only; we do not control or take responsibility for third-party content. Your use of any third-party site is at your own risk.
Modifications to the Site
The Health Co-Lab may modify, suspend, or discontinue the Site at any time without notice. We will not be liable for any such change.
Disclaimers
The Site is provided AS-IS and AS AVAILABLE without warranty of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, title, noninfringement, and any warranty regarding accuracy or availability. Your use of the Site is at your sole risk.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall The Health Co-Lab LLC, its affiliates, partners, members, managers, employees, contractors, or licensors be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Site.
In no event shall The Health Co-Lab’s aggregate liability arising out of or relating to these Terms or your use of the Site exceed USD $100.00.
Some jurisdictions do not allow these limitations; they apply to the maximum extent permitted.
Indemnification
You agree to defend, indemnify, and hold harmless The Health Co-Lab LLC and its affiliates, partners, members, managers, employees, contractors, and licensors from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from:
- your access to or use of the Site
- your violation of these Terms
- your violation of applicable law or third-party rights
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New Hampshire, without regard to conflict-of-laws principles. You and Health Co-Lab submit to the exclusive jurisdiction of the state and federal courts located in New Hampshire, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
If you are a consumer residing in a jurisdiction whose laws prohibit the foregoing choice of law or forum, the laws and courts of your jurisdiction shall apply to the extent required.
California Residents
If you are a California resident, the California Consumer Privacy Act, as amended by the California Privacy Rights Act (together, the “CCPA”), gives you certain rights regarding personal information that we collect about you as a website visitor. Subject to the exceptions described below, you have the right to:
- Know and access the categories and specific pieces of personal information we have collected about you, the sources of that information, the business purposes for collecting it, and the categories of third parties with whom we share it.
- Correct inaccurate personal information we maintain about you.
- Delete personal information we have collected from you, subject to certain legal exceptions.
- Limit the use of sensitive personal information to what is necessary to provide the services and operate our business.
- Be free from discrimination for exercising any of these rights.
Much of the information we handle is exempt from the CCPA. Protected Health Information governed by HIPAA, medical information governed by the California Confidentiality of Medical Information Act (CMIA), and information we process on behalf of our customers as a service provider or business associate are not subject to these CCPA rights. Where your health information is held in one of our platforms on behalf of a healthcare customer, your rights are generally exercised through that organization, and we will support that organization in responding to your request.
To exercise any of these rights, contact us at security@thehealthcolab.com. We will verify your request before responding and will not discriminate against you for making one. You may also designate an authorized agent to submit a request on your behalf.
Termination
We may terminate or suspend access to the Site at any time without notice or liability, including for violation of these Terms. The sections covering Intellectual Property, Acceptable Use, User Submissions, Third-Party Links, Disclaimers, Limitation of Liability, Indemnification, and Governing Law survive termination.
Notes
- Changes to These Terms: We may revise these Terms periodically. The most current version is posted on the Site with the “Last updated” date. Continued use of the Site after the changes take effect constitutes acceptance.
- Entire agreement: These Terms, our Privacy Policy, and any Site-referenced policies are the entire agreement and supersede prior agreements.
- Severability: Invalid provisions do not affect the rest of the Terms.
- No waiver: Our failure to enforce these Terms does not waive them.
- Assignment: You may not assign these Terms without our consent; we may assign them without restriction.
- No third-party beneficiaries.
Changes to This Policy
We review our data management practices at least annually and may update this policy to reflect changes in our practices or in applicable law. When we make material changes, we will update the date at the top of this page.
